General Terms and Conditions of Sale – Palas' website

These General Terms and Conditions of Sale (hereinafter referred to as the “Terms”) govern the contractual relationship between Palas, a simplified joint-stock company (SASU) with share capital of €1,000.00, registered with the Paris Trade and Companies Register under SIRET number 91285545900026, whose registered office is located at 19 Rue Bobillot, 75013 Paris, France (hereinafter referred to as “Palas”, “we”, or “us”), and any individual making a purchase on the website www.fancypalas.fr (hereinafter referred to as the “Website”).

Any order placed on the Website constitutes unreserved acceptance of these Terms.


1. Purpose

These Terms set out the conditions under which Palas offers for sale, delivers, and invoices its products (hereinafter the “Products”) to consumer clients (hereinafter the “Client” or “you”).
They apply exclusively to all orders placed via the Website, to the exclusion of any other distribution channels.


2. Products

The Products offered for sale are those displayed on the Website at the time of the Client’s consultation, subject to availability.
Each Product is accompanied by a detailed description enabling the Client to be informed of its essential characteristics within the meaning of Article L.111-1 of the French Consumer Code.
Photographs are provided for illustrative purposes only and shall not be deemed contractually binding.


3. Prices

Prices displayed on the Website are shown in euros, inclusive of all taxes (VAT included), and exclusive of delivery charges.
Palas reserves the right to amend its prices at any time without prior notice; however, Products will be invoiced on the basis of the rates in effect at the time the order is confirmed.
Delivery charges are specified prior to the final validation of the order.


4. Orders

The Client may place an order online through the Website after reading and accepting these Terms.
Any order implies acceptance of the price and description of the Products available for sale.
The order becomes final upon confirmation by email from Palas.
Palas reserves the right to refuse any order in the event of a prior dispute or reasonable suspicion of fraud.


5. Payment

Payment is due immediately upon ordering.
Payments are to be made by bank card via a secure payment platform (for example: Stripe, PayPal, etc.).
Payment data are never stored by Palas.


6. Delivery

Orders are prepared and dispatched from France or Portugal by our logistics team from Monday to Friday, excluding public holidays.

Once your order has been confirmed, you will receive a confirmation email, followed by a shipping notification containing a tracking link.
Deliveries are carried out by our transport partners (Colissimo, Chronopost, La Poste, CTT, UPS, FedEx, DHL, DPD, etc.).
Delivery times indicated at the time of ordering are for information purposes only and may vary depending on destination and the carrier’s logistical constraints. Palas shall not be held liable for any delay.

Delivery charges are specified before payment confirmation and are calculated based on the selected delivery method and destination country.
The Client is responsible for providing accurate delivery information at the time of ordering. In the event of an error or incomplete address preventing delivery, any costs associated with reshipment shall be borne by the Client.

If a parcel is marked as delivered by the carrier but has not been received, the Client must contact Palas within a reasonable time to allow an investigation to be opened. No refund or replacement shall be issued while such investigation is ongoing.


7. Right of Withdrawal

The Client has a period of 14 days from receipt of the Product to exercise the right of withdrawal, without being required to give any reason or pay any penalty.
To exercise this right, the Client must notify Palas by email at hello@fancypalas.com.
Products must be returned in their original condition (unworn, unwashed, with original packaging and tags).
Return shipping costs are borne by the Client, except where the return is due to an error on the part of Palas.
Refunds shall be made within a maximum of 14 days from receipt of the returned Product.


8. Personal Data

Palas collects and processes Clients’ personal data in accordance with its Privacy Policy, available on the Website.
Such data are necessary for the management of orders and performance of the contract.
The Client has the right to access, rectify, and delete personal data in accordance with Regulation (EU) 2016/679 (GDPR).


9. Intellectual Property

All elements of the Website (texts, images, logos, graphics, visual identity, etc.) are the exclusive property of Palas and are protected by intellectual property law.
Any reproduction, in whole or in part, of the Website or its contents is strictly prohibited without the prior written authorisation of Palas.


10. Force Majeure

Palas shall not be held liable for any failure to perform its contractual obligations arising from an event of force majeure, as defined under French case law.


11. Governing Law and Dispute Resolution

These Terms are governed by French law.
In the event of a dispute, the parties shall endeavour to reach an amicable settlement prior to any legal proceedings.
The Client may refer the matter to a consumer mediation procedure.
Failing such amicable resolution, jurisdiction shall lie with the competent French courts.

 

Professional Terms and Conditions of Sale – Palas

These Professional Terms and Conditions of Sale (hereinafter the “Terms” or “T&Cs”) govern all sales concluded between:

Palas, a [legal form to be specified] company with a share capital of [amount], registered with the Trade and Companies Register of [city] under number [registration number], with its registered office located at [full address],
(hereinafter “Palas” or “we”),

and any professional customer (hereinafter the “Reseller” or “Client”), acting in the course of its commercial, craft, or liberal activity, wishing to order Palas products via the professional website [insert website address] (hereinafter the “Website”).


1. Purpose and Scope

These Terms define the conditions under which Palas sells its products (hereinafter the “Products”) to professional Resellers via the Website.
They constitute the sole contractual framework applicable to all orders placed by professional Clients, to the exclusion of any other terms and conditions, including those issued by the Reseller (such as purchase terms or order forms), unless expressly agreed otherwise in writing by Palas.
Placing an order on the Website implies full and unconditional acceptance of these Terms.


2. Products

The Products offered for sale are those displayed on the Website at the time the order is placed, subject to availability.
Palas reserves the right to modify its range at any time, as well as the technical or aesthetic characteristics of its Products, provided such modifications do not constitute a material alteration of the Products.
Descriptions, visuals, and information appearing on the Website are for indicative purposes only and are not contractually binding.


3. Orders

3.1 Access to the Professional Website

Access to the Website is restricted to duly registered and approved Resellers.
Palas reserves the right to accept or refuse any application for a professional account, particularly where brand image or distribution requirements are not met.

3.2 Ordering Process

Orders may be placed exclusively online through the Website.
To be valid, an order must be paid in full at the time it is placed.
Once payment is confirmed, the order becomes firm and final and is processed by Palas.
An order confirmation email will be sent to the Reseller, summarizing the Products ordered, the amount paid, and delivery details.

Palas reserves the right to refuse or suspend any order:

  • in the event of a payment incident or suspected fraud;

  • in the event of the Reseller’s failure to meet contractual obligations; or

  • for any other legitimate reason as defined under Article 1217 of the French Civil Code.


4. Prices

Prices are expressed in euros, exclusive of taxes (excl. VAT).
Applicable prices are those in effect on the date of the order.
Any discounts, special terms, or promotional offers are personal to the Reseller and non-transferable.
Palas reserves the right to modify its prices at any time without prior notice; however, Products shall be invoiced at the rate applicable at the time the order is confirmed.
Delivery charges are specified at checkout prior to final payment validation.


5. Payment

Unless otherwise agreed in writing between Palas and the Reseller, payment is due in full upon order placement, directly via the Website.
Payments may be made by credit card or secure bank transfer.
Orders are processed only after effective payment confirmation.
No discount shall be granted for early payment.

In the event of a rejected payment, banking incident, or failure to receive a transfer within a reasonable period, Palas reserves the right to suspend or cancel the order.

In cases where deferred payment has been exceptionally granted in writing, any delay shall automatically and without prior notice result in:

  • the application of late payment interest at the rate provided under Article L.441-10 of the French Commercial Code; and

  • a fixed recovery charge of €40.


6. Delivery

Deliveries are made to the address indicated by the Reseller at the time of order.
Delivery costs and estimated timelines are communicated at checkout prior to payment.
Delivery times are indicative only and may vary depending on order volume, destination, and logistical constraints.
Palas shall make every effort to respect the stated timelines but shall not be held liable for delays attributable to force majeure or carrier failure.

Delivery shall be deemed complete once the Products are made available to the Reseller or its designated carrier.
Risk transfers at that point, pursuant to Article L.216-5 of the French Consumer Code.

In case of damage, shortage, or apparent non-conformity, the Reseller must record reservations on the delivery note and confirm them to Palas in writing within three (3) business days of receipt.
No claim will be accepted after this period.


7. Retention of Title

Ownership of the Products shall remain vested in Palas until full payment of the price, including principal and incidental amounts (Law No. 80-335 of 12 May 1980).
Risk in the Products, however, transfers upon delivery.


8. Warranties

The Products are covered by the statutory warranty against hidden defects (Articles 1641 et seq. of the French Civil Code).
The statutory warranty of conformity does not apply in B2B transactions.
No commercial warranty is granted unless expressly stated.

Palas’ liability shall be strictly limited to the replacement or reimbursement of any Product recognized as defective, excluding any compensation for commercial loss or loss of profit.


9. Liability

Palas shall not be held liable for any indirect, intangible, or financial damage (including loss of profit, clientele, data, or brand image) arising out of or in connection with the performance or non-performance of the contract.


10. Force Majeure

Palas shall not be liable for any failure to perform its obligations resulting from an event of force majeure (including, but not limited to, war, pandemic, strike, fire, flood, supply disruption, or internet outage), as defined under Article 1218 of the French Civil Code.


11. Intellectual Property

All elements relating to the Palas brand, including visuals, logos, texts, and packaging, remain the exclusive property of Palas.
Any unauthorized use, reproduction, or modification is strictly prohibited.
The Reseller undertakes to present and market Palas Products in a manner consistent with the brand’s image and identity.


12. Personal Data

Personal data collected in the course of the commercial relationship are processed in accordance with the Palas Privacy Policy.
They are used solely for order management and client relationship purposes.
The Reseller has the right to access, rectify, or delete such data in accordance with the GDPR.


13. Governing Law and Jurisdiction

These Terms are governed by French law.
Any dispute relating to their interpretation or performance shall fall under the exclusive jurisdiction of the Commercial Court of [city of registered office], even in cases involving multiple defendants or third-party claims.


14. Promotional Offers and Web Exclusives

Promotional offers, discounts, voucher codes, and commercial operations displayed on the website www.fancypalas.com apply exclusively to purchases made online.
They do not apply in physical retail outlets, partner stores, corners, or other Palas distribution channels, unless expressly stated otherwise.
Likewise, prices displayed on the Website may differ from those offered through other distribution channels, particularly during time-limited or online-exclusive sales.
